1. Acceptance of Terms

2. Our Services

Touseef Digital provides web design, web development, SEO, digital marketing, and related services to UK businesses and international clients.

2.1 Service Description

• Web Design & Development: Custom website creation, responsive design, and technical implementation.
• SEO & Digital Marketing: Search engine optimisation, content marketing, PPC advertising, and social media management.
• Consulting: Strategic digital consulting and business growth advisory services.
• Maintenance: Ongoing website maintenance, security updates, and performance monitoring.

2.2 Service Delivery

• All services are delivered according to the project scope and timeline agreed upon in the project proposal or contract.
• We reserve the right to modify or discontinue any service with reasonable notice.
• We will use reasonable efforts to meet agreed timelines but cannot guarantee exact delivery dates.
• You are responsible for providing timely feedback, content, and approvals to avoid project delays.

3. Payment Terms

3.1 Pricing

• All prices are quoted in GBP (£) and are exclusive of VAT unless otherwise stated.
• Prices are subject to change with 30 days' written notice.
• Any additional work outside the agreed scope will be charged at our standard hourly rate.
• Travel and accommodation expenses (if applicable) will be billed separately.

3.2 Payment Schedule

• Deposit: A 50% non-refundable deposit is required to commence work on any project.
• Milestone Payments: 25% is due upon completion of agreed project milestones.
• Final Payment: The remaining 25% is due upon project completion and before final deliverables are released.
• Ongoing Services: Monthly or quarterly payments are due in advance for maintenance, SEO, and marketing services.

3.3 Late Payments

• Invoices are due within 14 days of receipt unless otherwise agreed.
• Late payments may incur interest at 2% per month on outstanding balances.
• We reserve the right to suspend services for overdue accounts.
• Collection costs may be passed to the client for overdue accounts.

4. Intellectual Property

4.1 Our Intellectual Property

• All content, designs, code, and materials created by Touseef Digital remain our intellectual property until full payment is received.
• We retain the right to use project work in our portfolio, case studies, and marketing materials.
• Our trademarks, logos, and brand assets may not be used without prior written consent.
• Any pre-existing intellectual property provided by us remains our exclusive property.

4.2 Your Intellectual Property

• You retain ownership of any content, images, and data you provide to us.
• You grant us a license to use your content for the purpose of delivering the agreed services.
• Upon full payment, we transfer ownership of the final deliverables (websites, designs, code) to you.
• We retain the right to use generic code, frameworks, and components in future projects.

5. Warranties & Liability

5.1 Service Warranty

• We warrant that our services will be performed with reasonable skill and care.
• We provide a 30-day warranty on all web development work for bugs and technical issues.
• We do not warrant that our services will be uninterrupted, error-free, or meet all your requirements.
• We are not responsible for issues caused by third-party software, hosting, or changes to your environment.

5.2 Limitations of Liability

• To the maximum extent permitted by law, our liability is limited to the total amount paid for the services provided.
• We are not liable for any indirect, consequential, or incidental damages.
• We are not responsible for any loss of data, revenue, or business opportunities.
• We are not liable for any damages resulting from the use of our services or reliance on our advice.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our working relationship.

• Confidential information includes business strategies, financial data, client lists, and project details.
• We will not disclose your confidential information to third parties without your consent.
• This obligation continues even after the termination of our working relationship.
• Information that is publicly available or required to be disclosed by law is excluded from this obligation.

7. Termination

7.1 Termination by Client

• You may terminate the agreement with 30 days written notice.
• All fees for work completed up to the termination date are due and payable.
• You will receive all completed work and project files upon full payment of all outstanding invoices.
• Any deposits paid are non-refundable.

7.2 Termination by Us

• We may terminate the agreement if you breach these terms and fail to remedy the breach within 14 days of notice.
• We may terminate with immediate effect if you fail to make payment when due.
• We reserve the right to suspend services for overdue accounts or policy violations.
• Termination does not affect any rights or obligations that have already accrued.

8. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales.

• Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
• If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
• These terms constitute the entire agreement between you and Touseef Digital regarding our services.
• Any failure to enforce any provision of these terms does not constitute a waiver of that provision.

We reserve the right to update or modify these Terms and Conditions at any time.
